Security staff at the music event in Staffordshire, central England were alerted to a 20-year-old found unresponsive in his tent in the early hours of Sunday.
He was given first aid on the Weston Park site, but later pronounced dead.
A spokesperson for V Festival says: "We are all very saddened by this tragic incident, and we want to extend our deepest sympathies to the family of this young man.
"Our team worked throughout the night to support those affected at the festival site and we want to thank everyone for their co-operation and support during the incident."
The Staffordshire festival was headlined by The Killers and Snow Patrol on Saturday night, while The Stone Roses and Noel Gallagher's High Flying Birds are scheduled to play on Sunday evening.
The annual event also takes place in Essex, south-east England.
