The Sherlock Holmes director began dating Ainsley, 30, in 2010 and the couple welcomed its first child together, a son named Rafael, in September, 2011.
They are currently expecting a second child, and now it appears the loved-up pair is planning to exchange vows.
A source tells UsMagazine.com Ritchie recently proposed to Ainsley, and she accepted.
It will be the director's second marriage - the 44 year old divorced Madonna in 2008. The couple was married for almost eight years.
He also has two sons with the pop superstar - 12-year-old Rocco and adopted David.
